Jon Norris, Managing Director, SVB Capital: M&A Analysis - More Structured Deals, Quicker Exits in Biotech

Jon Norris, Managing Director, SVB Capital, conducted research on the merger and acquisition behavior of private, venture capital-backed biotech and medical device companies since 2005 and found some surprising results. Among the findings were the fact that in terms of device activity and deal size, both total acquisition and all-in/upfront amounts are on the rise in device. Norris and his team also found that in biotech exits are quicker and multiples are lower, while in medical devices exits are longer and multiples are higher. Listen to this exclusive BioNetwork podcast to hear more about Norris and SVB’s findings and what factors account for this shift in M&A activity.

Roger Graben, SVP, Operations & Business Development, Kowa America: Liscensing Vs. Acquisition Agreements
“When is there synergy created by acquisition that does not exist for either party in a straight licensing deal?” That’s one of the most important questions to ask when considering moving from a licensing agreement to an acquisition, says Roger Graben, SVP, Operations & Business Development at Kowa America. In the below podcast he discusses how a company decides when to make the leap from a licensing agreement to an acquisition. Another very important consideration, he says, is to determine what the surviving management structure will be like. Graben advises that organizations ask, “Will jobs be created? Will they be lost? Will they be relocated?” and reminds us that, “You’re dealing with people’s lives here.” Listen to his advice in this podcast.

David Donabedian, VP of Strategic Alliances, GlaxoSmithKline
Big pharma are constantly and actively looking for partners who are innovating with new drug discovery and development, but how do these partnerships actually happen? How does a big corporation like GlaxoSmithKline hone in on the right biotech companies to advance its own organization’s goals? One way is to segment the company into smaller groups, like the Centre of Excellence for External Drug Discovery (CEEDD) at GSK, where David Donabedian is the VP of Strategic Alliances. The CEEDD was formed out of the realization that R&D is best done in small groups and it’s working for the organization at large. Hear how David has led the CEEDD group to form recent partnerships with companies like OncoMed and Prosensa Therapeutics, among others, in the podcast below.
